Terms of Agreement - TurkishDecoded Tutoring Services

Effective Date: May 23, 2023

This Terms of Agreement ("Agreement") is entered into between TurkishDecoded ("Tutor") and the client ("Student" or "You") for the provision of online language tutoring services. By enrolling in and using TurkishDecoded's services, you agree to be bound by the terms and conditions outlined in this Agreement.

  1. Services Offered

    1. Tutoring Services: Tutor agrees to provide online language tutoring services to the Student.
    2. Lesson Structure: Each tutoring session will be conducted online, using a suitable video conferencing platform agreed upon by both Tutor and Student.

  2. Payment and Pricing

    1. Lesson Rates: The current rates for lessons are as follows:
      • $55 per lesson for 1-3 lessons booked simultaneously.
      • $40 per lesson for 4 or more lessons booked simultaneously.
    2. Payment Schedule: Payment for lessons is due within 3 business days after the completion of the lesson. The Tutor will provide payment details to the Student.
    3. Payment Methods: Payments may be made via the payment methods specified by the Tutor, including credit/debit cards, online payment platforms, or any other mutually agreed-upon method.
    4. Currency: All prices are stated in USD and are exclusive of any applicable taxes or fees.
    5. Alternative Payment Terms: Any alternative payment terms or pricing arrangements must be agreed upon by both Tutor and Student in writing.

  3. Lesson Rescheduling and Cancellation

    1. Rescheduling Lessons:
      1. If you need to reschedule a lesson, please provide at least 4 hours' notice prior to the scheduled lesson time.
      2. The Tutor will make reasonable efforts to accommodate rescheduling requests based on availability.
      3. If a mutually agreed-upon rescheduling time cannot be arranged, the lesson will be considered canceled according to the cancellation policy outlined in section 3.2.
    2. Cancellation Policy:
      1. If you need to cancel a lesson, please provide at least 24 hours' notice prior to the scheduled lesson time.
      2. Cancellations made with at least 24 hours' notice will not incur any cancellation fees.
      3. Cancellations made within less than 24 hours' notice will result in 50% of the lesson fee being due as a cancellation fee.
    3. Tutor Absence: In the event that the Tutor needs to reschedule or cancel a lesson, reasonable efforts will be made to notify the Student in advance and reschedule the lesson at a mutually agreed-upon time. If a suitable rescheduling option cannot be arranged, the Student will be offered a refund or credit for future lessons.

  4. Intellectual Property

    1. All lesson materials: including but not limited to worksheets, exercises, and instructional content, provided by the Tutor remain the intellectual property of the Tutor.
    2. Usage: The Student may use these materials solely for personal study purposes and may not reproduce, distribute, or share them without prior written consent from the Tutor.

  5. Confidentiality

    1. Confidentiality: Both Tutor and Student agree to maintain the confidentiality of any personal or proprietary information shared during the course of the tutoring sessions.
    2. Disclosure: The Tutor will not disclose the Student's personal information to any third party without the Student's explicit consent, except as required by law.

  6. Limitation of Liability

    1. Liability: The Tutor shall not be held liable for any direct, indirect, incidental, or consequential damages arising out of or in connection with the provision of tutoring services.
    2. Maximum Liability: The Tutor's total liability, if any, arising out of or relating to this Agreement shall not exceed the total amount paid by the Student for the lessons in question.

  7. Termination

    1. Termination: Either party may terminate this Agreement by providing written notice to the other party.
    2. Refunds: In the event of termination, any unused lesson fees that have been paid in advance may be refunded or credited for future lessons, as agreed upon by both parties.

  8. Governing Law and Jurisdiction

    1. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state of New York.
    2. Jurisdiction: Any disputes arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts located in the state of New York.

By enrolling in and using the services of TurkishDecoded, you acknowledge that you have read, understood, and agreed to the terms and conditions of this Agreement.
